1. Agreement to Terms

These Terms of Service ("Agreement" or "Terms") constitute a legally binding contract between you ("User," "you," or "your") and DashAPI, Inc. ("DashAPI," "Company," "we," "us," or "our"), a Delaware corporation, governing your access to and use of the LinkMe iOS application and any related services, features, or content (collectively, the "Service").

BY DOWNLOADING, INSTALLING, CREATING AN ACCOUNT FOR, OR USING THE SERVICE, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE.

These Terms supersede all prior agreements, representations, and understandings between you and DashAPI with respect to the Service. In the event of any conflict between these Terms and any other document incorporated by reference, these Terms shall control unless otherwise expressly stated.

2. Eligibility

You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding contract under applicable law; (c) your use of the Service will not violate any applicable law or regulation; and (d) if you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms.

The Service is intended for professional use by individuals operating in a business context. We reserve the right to deny access to any person or entity at our sole discretion.

3. License Grant and Restrictions

3.1 Limited License

Subject to your compliance with these Terms, DashAPI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Application on an iOS device that you own or control, solely for your personal or internal business purposes in accordance with these Terms and any applicable App Store terms.

3.2 Restrictions

You shall not, directly or indirectly:

  • Copy, modify, adapt, translate, reverse engineer, disassemble, decompile, or create derivative works of the Application or any part thereof;
  • Rent, lease, loan, resell, sublicense, distribute, or otherwise transfer the Application or any rights therein to any third party;
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Application;
  • Use the Application to develop a competing product or service;
  • Use any automated means, including bots, scrapers, or crawlers, to access, collect data from, or interact with the Service;
  • Circumvent, disable, or otherwise interfere with any security feature of the Application;
  • Use the Application in any manner that could damage, disable, overburden, or impair the Service or interfere with any other user's enjoyment of the Service;
  • Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.

4. Accounts and Registration

To access certain features of the Service, you must create an account. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update your registration information as necessary; (c) maintain the confidentiality of your account credentials; (d) notify us immediately of any unauthorized access to or use of your account; and (e) accept responsibility for all activities that occur under your account.

You may not share your account with any other person. We reserve the right to suspend or terminate accounts that are shared, transferred, or otherwise used in a manner inconsistent with these Terms. You may not create more than one account without our prior written consent.

5. User Content and Relationship Data

5.1 Ownership of User Content

As between you and DashAPI, you retain all ownership rights in the notes, voice recordings, contact records, and relationship data you create or input into the Service ("User Content"). You grant DashAPI a limited, non-exclusive, worldwide, royalty-free license to process, store, display, and transmit your User Content solely to the extent necessary to provide and improve the Service.

5.2 Responsibilities Regarding Third-Party Information

LinkMe enables you to capture and store information about third-party individuals ("Contacts"). By recording information about Contacts, you represent, warrant, and covenant that:

  • You have a legitimate professional basis for recording and maintaining such information;
  • The information was obtained through lawful means, including in the course of in-person professional interactions;
  • Your recording and use of such information complies with all applicable privacy laws, including without limitation the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and any other applicable data protection legislation;
  • You will not use the Service to record information in a manner that constitutes harassment, stalking, unlawful surveillance, or any other tortious or criminal conduct; and
  • You will honor any request from a Contact to delete or correct information you hold about them, to the extent required by applicable law.

You acknowledge that you, and not DashAPI, are the data controller with respect to personal information you record about third-party Contacts, and you bear full responsibility for ensuring that your collection and use of such information complies with applicable law.

5.3 Shared and Claimable Profiles

When you share a contact card with a Recipient or enable a claimable profile, you acknowledge that the information contained in such card or profile will be accessible to the intended Recipient and, potentially, to any person to whom the Recipient further shares or forwards such information. You are solely responsible for the accuracy of information you share and for ensuring that sharing such information is consistent with your obligations to the individuals described therein.

6. Fees, Subscriptions, and Payment

The Service may be offered on a freemium basis, with premium features available through a paid subscription. All fees are set forth within the Application or on our website and are subject to change with advance notice. Subscriptions are billed on a recurring basis through the Apple App Store in accordance with Apple's billing terms. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

We reserve the right to modify, suspend, or discontinue any tier of the Service or any pricing structure at any time upon notice to you. Enterprise and B2B pricing arrangements are governed by separate written agreements, which shall supersede these Terms with respect to pricing and commercial terms.

7. AI Features and Accuracy Disclaimer

LinkMe utilizes artificial intelligence, including on-device AI models provided by Apple's Foundation Models framework, to extract, summarize, classify, and generate content from your inputs. AI-generated outputs, including contact record summaries, relationship briefings, and suggested follow-ups, are provided for informational and productivity purposes only. Such outputs may contain errors, inaccuracies, or omissions, and should not be relied upon as the sole basis for business decisions, financial decisions, or any other consequential action.

You acknowledge that AI technology is inherently probabilistic and that DashAPI does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output. You assume full responsibility for reviewing, validating, and acting upon AI-generated content.

8. Intellectual Property

The Application, including all software, design, text, graphics, interfaces, logos, trade names, and other content made available through the Service, excluding User Content, is the exclusive property of DashAPI or its licensors and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service or DashAPI's intellectual property except for the limited license set forth in Section 3.1.

"LinkMe," "DashAPI," and any associated logos or marks are trademarks or registered trademarks of DashAPI, Inc. You may not use these marks without our prior written permission.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share information in connection with the Service, including our on-device-first processing architecture. By using the Service, you consent to our privacy practices as described therein.

10. Prohibited Conduct

In addition to the restrictions set forth in Section 3.2, you agree that you will not use the Service to:

  • Violate any applicable law, regulation, rule, or ordinance, including without limitation laws governing privacy, data protection, anti-spam, consumer protection, export controls, or unfair business practices;
  • Record information about individuals without a legitimate professional basis or in a manner that violates their reasonable expectation of privacy;
  • Transmit unsolicited commercial communications, spam, or any other form of unauthorized advertising through the Service;
  • Infringe upon the intellectual property, privacy, publicity, or other proprietary rights of any third party;
  • Upload, transmit, or distribute any content that is unlawful, defamatory, harassing, threatening, obscene, or that promotes discrimination or violence;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Interfere with or disrupt the integrity or performance of the Service or any related infrastructure;
  • Attempt to gain unauthorized access to any portion of the Service or any related systems or networks;
  • Engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure.

11. Third-Party Services and Integrations

The Service may integrate with or link to third-party platforms, including Apple services, CRM providers, and calendar applications. DashAPI is not responsible for the content, privacy practices, or terms of such third-party services. Your use of third-party services is governed solely by the terms and conditions of those services. We encourage you to review all applicable third-party terms before enabling any integration.

12. Term, Suspension, and Termination

These Terms remain in effect until terminated by you or DashAPI. You may terminate your account at any time by deleting the Application and following the account deletion process within the Service.

DashAPI reserves the right to suspend or terminate your access to the Service, in whole or in part, immediately and without notice if: (a) you breach any provision of these Terms; (b) we are required to do so by applicable law or a governmental authority; (c) we have reasonable grounds to believe your conduct poses a legal, security, or reputational risk to DashAPI or third parties; or (d) you fail to pay applicable fees.

Upon termination: (a) all licenses granted to you under these Terms will immediately cease; (b) you must delete all copies of the Application from your devices; and (c) Sections 5.2, 8, 12, 13, 14, 15, 16, and 17 shall survive termination and remain in full force and effect.

13. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DASHAPI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

DashAPI does not warrant that: (a) the Service will meet your requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained through use of the Service will be accurate or reliable; or (d) any errors in the Service will be corrected.

Some jurisdictions do not permit the exclusion of certain warranties. To the extent such exclusions are prohibited, they shall be limited to the minimum extent required by applicable law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DASHAPI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF DASHAPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DASHAPI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO DASHAPI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).

The limitations in this Section shall apply to the fullest extent permitted by applicable law, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and regardless of whether DashAPI has been informed of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless DashAPI and its officers, directors, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your recording of information about third-party Contacts; (d) your violation of these Terms; (e) your violation of any applicable law or regulation; or (f) your violation of any third-party rights, including privacy, publicity, or intellectual property rights. DashAPI reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with DashAPI's defense of such matter.

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.

16.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to attempt to resolve any dispute informally by contacting DashAPI at legal@dashapi.ai. We will attempt to resolve the dispute through informal negotiation within thirty (30) days. If informal resolution is unsuccessful, either party may pursue the remedies set forth below.

16.3 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT AND CLAIMS FOR INJUNCTIVE OR OTHER EQUITABLE RELIEF, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT. The arbitration shall be conducted in English in the State of Delaware, or by remote means. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.4 Class Action Waiver

YOU AND DASHAPI EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16.5 Jurisdiction for Excluded Claims

For claims excluded from arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware and waive any objection to the laying of venue or personal jurisdiction in such courts.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and DashAPI with respect to the Service and supersede all prior and contemporaneous agreements, representations, and understandings.

17.2 Modifications

We reserve the right to modify these Terms at any time. Material modifications will be communicated via in-application notice or email at least fourteen (14) days before the changes take effect. Your continued use of the Service after the effective date of any modification constitutes acceptance of the revised Terms.

17.3 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17.4 Waiver

DashAPI's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of DashAPI.

17.5 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. DashAPI may assign these Terms or any rights or obligations hereunder without restriction, including in connection with a merger, acquisition, or sale of assets.

17.6 Force Majeure

DashAPI shall not be liable for any delay or failure to perform its obligations under these Terms arising from causes beyond its reasonable control, including acts of God, natural disasters, acts of government, labor disputes, power outages, or failures of third-party infrastructure.

17.7 Apple App Store Terms

These Terms are entered into between you and DashAPI, not Apple, Inc. Apple is not responsible for the Service and has no obligation to provide maintenance, support, or other services with respect to the Application. In the event of any conflict between these Terms and the Apple App Store Terms of Service, the Apple App Store Terms of Service shall prevail solely to the extent required by Apple.
